WiseQ Global Pte Ltd (WiseQ, http://wiseqglobal.com) is concerned about its customers and users (hereinafter referred to as "You" “you” “your” "Your" "Yourself") accessing its website ("Website" or “Platform”) and has devised these Terms of Use ("Agreement") to familiarise you with the terms and conditions of the usage of WiseQ Platform/Website.

Please read the following terms and conditions very carefully as the use of service is subject to your acceptance of and compliance with the following terms and conditions ("Terms").

These Terms of Use (“Agreement”) sets forth legally binding terms and conditions and the nature of services offered by WiseQ Global Pte. Ltd., Singapore (hereinafter referred to as “WiseQ” or “WiseQ Global” or “Website” or “Platform” or “We” or “us”). This User Agreement shall come into effect upon each visit or usage of the Website, or upon your registration, or accessing any program, or upon you providing any information on the Website. The website is owned and operated by WiseQ Global Pte. Ltd., Singapore, a private limited company incorporated in Singapore (hereinafter referred to as “Company”).

The use of this Website (and any other feature, content or application offered from time to time by the Website) is subjected at all times to these Terms of Use (and may be modified by us from time to time) and all applicable laws, rules and regulations. We recommend that before accessing and using WiseQ, you must read and agree to these Terms of Use.

By accessing the website at http://wiseqglobal.com you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.

1. Definitions

WiseQ: WiseQ Global Pte. Ltd., Singapore mobile, desktop applications or wiseqglobal.com website.

Organisation: Mentoring, coaching, training, mentoring program owner on "WiseQ"

User: All mentors, mentees, experts, coaches, instructors, trainers or "administrators" on "WiseQ"

Administrator: the "user" who is authorised to manage “mentorship” and "mentoring, coaching, training program" of "organisation".

Program: Set of fixed duration mentoring sessions with planned objectives and goals, communication, planning, scheduling and sharing on the platform “WiseQ” having mentees, mentors, and/or group of participants under the responsibility of "organisation" on "WiseQ".

2. Acceptance of Terms

By accessing or using WiseQ in any manner, including, but not limited to, visiting or browsing or registering on WiseQ, you agree that you have read, understood and agreed to be legally bound by the terms and conditions set forth below. If you do not agree to be bound by these Terms of Use, please do not access or use this Website or Platform. These Terms of Use may be modified, changed or altered by us at any time without prior notice. By agreeing to these Terms of Use, you hereby accept that you shall be responsible for periodically checking the changes and/or updates to these Terms of Use. It is agreed that your continued access to the Website after such changes are made, shall conclusively demonstrate your due acceptance of them.

3. Use of the Website

Any unauthorised use of and access to the Website is void and prohibited. By accessing and using this Website, you represent and warrant that (a) all registration information submitted by you is truthful and accurate; (b) you agree to maintain the accuracy of the information provided by you; (c) you are above 16 (sixteen) years of age (If you are below the age of sixteen (16) years of age, please obtain the permission of your parent or guardian before using our Website).; and (d) the use of the Website by you do not violate any applicable laws or regulations.

4. Terms of Use

1. "WiseQ'' can change these rules or add new rules. The announcement of the update can be sent via email, blog and WiseQ social networks.

2. Organisation has the responsibility of sending invitations via WiseQ or via third-party tools to add users to the platform for mentor mentee interactions and mentoring programs.

3. Users have the responsibility of its content (image, video, audio, comment, text, rating, feedback, information) on WiseQ. For sharing any third party content, users are obliged to give the due credit to the owner(s).

4. It is prohibited to share illegal content on WiseQ and to use humiliating expressions of individuals and institutions, to make religious or political propaganda, insulting others, smearing and using WiseQ for illegal activities.

5. WiseQ has no responsibility for the perfection or expertise of mentors, coaches, trainers, or instructors on WiseQ.

6. WiseQ has Agora, Mixpanel, Google Analytics, Zoom, or any third party service cookies (cookies) or WiseQ cookies for tracking, analysing, measuring and evaluating "user" behaviour on WiseQ.

7. WiseQ can communicate with users in physical or electronic environments about WiseQ services, third-party products and services, other mentoring, coaching, consulting, training, education, leadership, innovation, development programs.

8. WiseQ does not send or sell “user” information such as user contact information, comments and feedback, meeting notes, etc. with third-parties.

9. WiseQ can analyse, compile and process "user" data which is e-mail, phone number, name, profile page and contents, group page and content for business development and software development.

10. WiseQ is not responsible for any disruptions or damages arising out of circumstances such as delays, broken connections, data loss, cyber attacks that occur in the cloud or special servers that are rented, serviced and / or owned.

11. The team WiseQ strives to keep WiseQ up-to-date and operational. However, WiseQ can not be held responsible for delays, interruptions or damages caused by faults or faults found in WiseQ platform/software.

12. Users must protect their passwords and not share with others. You should not login to WiseQ platform with any other "user" password.

13. WiseQ may display advertisements, promotions and explanations about WiseQ or third-parties anywhere on a website or mobile application.

14. WiseQ can stop, interrupt or change services that it provides.

5. Unacceptable Conduct

You must not engage in the following unacceptable conduct when providing or attending Mentor Sessions:

1. Attending a Mentor Session late or failing to attend at all without reasonable prior notice;

2. Engage in conduct that risks the health and safety of the Mentor/Mentee;

3. Assault, harass, bully or threaten the Mentor/ Mentee;

4. Use abusive or offensive language; and/or;

5. Attend a Mentor Session when intoxicated or impacted by drugs.

6. Important Disclaimers

The following disclaimers are the key to determining any relationship between You and the WiseQ Platform for Your use of the Website and for the Platform providing any services on the Website:

1. The platform and its suppliers, mentors, affiliates and service providers provide the Website and services on "as is" basis and without any warranty or condition, express, implied or statutory and specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. You expressly agree that your use of the Website is at your risk.

2. The responsibility of the correctness of the declarations displayed on the Platform in relation to the information and products shall lie with You.

3. You understand, agree and acknowledge that Platform uses third party service providers to store and process Your personal information and other information which You provide to the Platform (as more specifically identified in the Privacy Policy) and such third parties may store and process your personal information in a country or state which may not have jurisdiction over You and / or such country or state may not have any data protection or data privacy laws or such country's or state's data protection or data privacy laws may not be as strong as the country or state having jurisdiction over You or over the Platform. You agree and understand that Platform provides no guarantee, warranty or assurance that such third party service providers will protect Your personal information and Platform shall not be liable for any actions, commission, omission, misconduct, fraud or negligence (whether in contract or tort or under public policy) of these third parties unless such actions, commission, omission or negligence of the third party is attributed to a direct cause of misconduct and gross negligence of Platform. However, WiseQ ensures to the maximum extent that these 3rd party service providers have stringent data protection and privacy compliance and control measures in place to protect the data and information processed from the WiseQ platform.

4. The WiseQ platform has the video/audio session recording feature where on the mutual consent of (users) mentor and mentee, they can record the session and access the recordings post session for their reference or learning and development purpose. These session recordings can also be made available to the organisations only when the participants of the session consent the organisation to do so. In any other circumstances, the sessions recordings can not be accessed by the other stakeholders except the participants themselves.

7. Electronic Communications

When You use the Website or send emails or other data, information or communication to the Platform, You agree and understand that You are communicating with the Website and Platform and all other Registered Users and Visitors through electronic records which are legally identifiable and enforceable, and You consent to receive communications via electronic records from the Website, Platform and all other Registered Users and Visitors and as and when posted, communicated or required.

8. Your Platform Account and Registration Obligations

If you use the Website as a Registered User, you are responsible for maintaining the confidentiality of your User ID and Password. You are responsible for all activities that occur under your User ID and Password. You agree, inter alia, to provide true, accurate, current and complete information about yourself as prompted by Website registration form or signup form or profile page or organisation level invitation to sign up to the platform as a user or visitor or user of a third party site through which You access the Website.

You hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, publicity, and database rights you have in Your information, in any media or medium now known or developed, produced, invented or used in future, with respect to Your information.

9. Payment Facility

Platform may from time to time contract with third party payment service providers including banks to open nodal bank accounts under applicable Singapore or Indian laws, to facilitate the payment between customers, organisations or users i.e. mentor and mentees and for collection of Platform Fees and other charges. These third party payment service providers may include third party banking or credit card payment gateways, payment aggregators, cash on delivery or demand draft / pay order on delivery service providers, mobile payment service providers or through any facility as may be authorised by the central banks of the respective countries for collection, refund and remittance, as the case may be of payment or supporting the same in any manner.

10. Payment and Renewal

By selecting WiseQ as the organisation/client, you agree to pay the one-time and/or monthly or quarterly or annual subscription fees indicated (additional payment terms may be included in other communications) on the website or WiseQ communication. Subscription payments will be charged on a pre-pay basis on the day you sign up and will cover the use of that service for a monthly or quarterly or annual subscription period as indicated; any additional subscription upgrade will be changed additionally. Payments are not refundable. Unless you notify WiseQ before the end of the applicable subscription period that you want to cancel a subscription, your subscription will automatically renew and you authorise us to collect the then-applicable annual or monthly subscription fee for such subscription (as well as any taxes) using any credit card or other payment mechanism we have on record for you. Upgrades can be cancelled at any time by submitting your request to WiseQ in writing.

Services

Fees, Payment - By signing up for a Services account you agree to pay WiseQ the applicable setup fees and recurring fees. Applicable fees will be invoiced starting from the day your services are established and in advance of using such services. WiseQ reserves the right to change the payment terms and fees upon thirty (30) days prior written notice to you. Services can be cancelled by you at any time on thirty (30) days written notice to WiseQ.

Support

If your service includes access to priority email support. Email support means the ability to make requests for technical support by email at any time (with reasonable efforts by WiseQ to respond within one business day or 24 hours). All support will be provided in accordance with WiseQ standard services practices, procedures and policies.

11. Refund Policy

WiseQ will have no role in failed transactions and fraudulent use of card/net banking/payment wallet in any manner. Users/clients are advised to use their own debit/credit card/net banking. Users/clients will be solely responsible for using debit/credit card & net banking for the payments of purchase of Mentoring services or products at WiseQ website/platform. Any fraudulent transaction/attempt will attract action as per the financial service laws of Singapore or the payment service company country. Users/clients providing improper details may be barred from taking the services or products further and payment shall be forfeited.

The Users/clients/Organisations further agrees and undertakes to provide correct and valid debit/credit card / Net Banking details. In default of the above conditions, Payment Gateway Service Provider shall be entitled to recover the amount of transaction from the user against whom the credit/debit card/Net banking has been used. Further, Payment Gateway service provider/Bank also reserves the right to initiate any legal action for recovery of cost/penalty or any other punitive measure, as it may deem fit. WiseQ or the Payment gateway service provider may put charges for convenience of transaction or any such (if any) from time to time and those charges must be borne by the user/client.

Please note that the amount of refund will be limited to only the base amount of the services or products. Online convenience fee (if any) and applicable taxes will not be refunded, payable towards online payment processing. The refund amount will be refunded directly to the account from where the payment was made. In case of any user/client found to have paid more than prescribed, due to technical reason and on receiving the communication from the said applicant, the said extra payment, if found, shall be refunded by WiseQ to the same account from which the payment has been received.

12. Permitted Uses

WiseQ declares that any material from this Website is not allowed to be copied or distributed, or republished, or transmitted in any way, without the prior written consent of WiseQ. Any unauthorised use or violation of these Terms of Use shall immediately and automatically terminate your right to access and use this Website and shall further subject you to legal liability. You agree not to use this Website for any illegal purposes (including, without limitation, unlawful, harassing, libellous, or obscene purposes) and you agree that you will comply with all laws, rules and regulations related to your use of the Website. WiseQ clarifies that appropriate legal action shall be taken upon any illegal or unauthorised use of the Website.

13. Indemnity

You hereby undertake to defend, indemnify and hold the Company, its subsidiaries, affiliates, and each of its respective officers, agents, partners and employees, harmless from and against any loss, liability, claim, demand, including reasonable attorneys' fees, resulting from the violation of the Terms of Use, provided herein, by you or arising out of your use of the Website in violation of these Terms of Use.

14. Waiver and Severability

The failure of WiseQ to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.

15. Dispute Resolution

The Terms and Conditions, its performance and all disputes arising out of or in connection with the Terms and Conditions shall be governed by the laws of Singapore.

Mediation: In case of any dispute between the parties, the Parties will attempt to resolve the same amicably amongst themselves, to the mutual satisfaction of both Parties. In the event that the Parties are unable to reach such an amicable solution within thirty (30) days of one Party communicating the existence of a dispute to the other Party, the dispute will be resolved by arbitration, as detailed herein below;

Arbitration: In the event that the Parties are unable to amicably resolve a dispute by mediation, said dispute will be referred to arbitration by a sole arbitrator to be appointed by the Proprietor, and the award passed by such sole arbitrator will be valid and binding on both Parties. The Parties shall bear their own costs for the proceedings, although the sole arbitrator may, in his/her sole discretion, direct either Party to bear the entire cost of the proceedings. The arbitration shall be conducted in English, and the seat of Arbitration shall be primarily Singapore which can be further arranged at a suitable place to the parties involved.

The language of the arbitration shall be English. The award of the arbitrator, if any, shall be final and binding, except for the enforcement of an arbitral award pursuant to this clause, if required or seeking injunctive or similar equitable relief.

17. Jurisdiction

Any dispute or controversy arising out of this Agreement shall be subject to exclusive jurisdiction of the Courts of Singapore.
